 The Securities and Exchange Commission (SEC) defines an accredited investor as someone who is qualified to invest in complex securities that are not closely regulated. The SEC has the authority to set the definition of accredited investors. To qualify as an accredited investor, an individual must meet one or more of the following criteria:

• Income Have a pre-tax income of more than $200,000 in each of the last two years, and expect to earn the same or more in the current and coming years 
• Net worth Have a net worth of more than $1 million, excluding the value of their primary residence 
• Professional certifications Be an investment professional, such as a securities representative, general partner, or knowledgeable employee of the private fund 
• Entity Be a bank, savings and loan association, insurance company, registered investment company, business development company, or small business investment company 

Sellers of unregistered securities are only allowed to sell to accredited investors because they are considered to be able to bear the risks. Unregistered securities are riskier because they don't have the same disclosure requirements as securities that are registered with the SEC. To prove accredited investor status, you can provide financial documentation, get a CPA letter, or use a third-party verification service.
